Terms & Conditions of Engagement
Effective Date: October 27, 2026 | Last Updated: October 27, 2026
1. Consulting Scope & Independent Status
These Terms & Conditions ("Terms") govern all professional consulting, technical architecture, and advisory services provided by Cisco Systems International LLC ("Company," "we," "us"). The Company operates strictly as an independent software infrastructure and IT architecture advisory practice. The Company is NOT a bank, payment processor, money transmitter, lender, broker-dealer, depository institution, or regulated financial services provider. Furthermore, the Company is an independent corporate entity with no corporate affiliation, endorsement, or partnership with Cisco Systems, Inc.
2. Engagement Proposals & Payments
All architectural consulting engagements are executed pursuant to a formal Scope of Work (SOW) or designated fixed-price consulting tier. All fees are denominated and payable in United States dollars (USD). For fixed-scope advisory packages (Architecture Assessment, Technical Blueprint, FinTech Architecture, Enterprise Architecture), payment is due upon contract execution prior to initiation of discovery. Invoices are payable via approved wire transfer, ACH, or corporate electronic payment methods. Late payments are subject to a statutory interest charge of 1.5% per month or the maximum permissible by Texas law.
3. Deliverables & Acceptance Standards
Deliverables consist solely of professional technical documentation, architectural blueprints, schema specifications, and implementation roadmaps as explicitly itemized in the applicable package or SOW. Upon electronic transmission of completed deliverables, the client has five (5) business days ("Review Window") to inspect deliverables for conformity with defined scope specifications. If no written notice of non-conformity is received within the Review Window, deliverables are deemed accepted.
4. Client Responsibilities & Technical Access
The client agrees to provide timely access to relevant project stakeholders, technical documentation, API specifications, and infrastructure parameters necessary for the Company to perform the architecture review. The Company shall not be liable for delivery delays or deficiencies resulting from client delays in furnishing required documentation, credentials, or review approvals.
5. Intellectual Property Rights
Upon full and final payment of all invoiced fees, the client shall own all exclusive right, title, and interest in the custom architectural blueprints, schema designs, and project-specific technical documentation prepared specifically for the client. The Company retains exclusive ownership of its pre-existing tools, proprietary assessment methodologies, general architectural frameworks, and generalized domain knowledge.
6. Confidentiality & Data Safeguards
Both parties mutually agree to preserve the strict confidentiality of all proprietary, technical, and commercial information disclosed during the engagement. The Company enforces strict data handling protocols and access controls to protect client architectural schematics and proprietary software specifications from unauthorized disclosure.
7. Cancellations & Refund Policies
All contract cancellations and refund inquiries are governed strictly by the Company's formal Refund & Cancellation Policy. Notice of cancellation must be submitted in writing. Blueprints and documentation already delivered to the client are entirely non-refundable.
8. Limitation of Liability & No Guaranteed Outcomes
To the maximum extent permitted by applicable law, the Company's total aggregate liability arising out of or related to any engagement, whether in contract, tort (including negligence), or otherwise, shall not exceed the total fees actually paid by the client to the Company for the specific engagement giving rise to the claim. In no event shall the Company be liable for indirect, incidental, consequential, special, or punitive damages, including loss of profits, data loss, business interruption, or system outages. The Company provides expert architectural recommendations based on current engineering standards; however, the Company makes NO GUARANTEES OR WARRANTIES regarding specific commercial outcomes, application revenue, investor capital raises, regulatory approvals, or zero-defect software operations.
Governing Law & Jurisdiction
These Terms shall be governed by the laws of the State of Texas, USA. Subject to applicable law, disputes shall be resolved in the competent state or federal courts located in McLennan County, Texas.
